These Terms and Conditions ("Terms") govern access to and use of Schmieding Farm Compliance (the "Service"), operated by H.C. Schmieding Produce Company, LLC ("Schmieding," "we," "us," or "our"). Schmieding Farm Compliance is a business compliance platform created by H.C. Schmieding Produce Company, LLC in 2026. The Service includes the public website, customer portal, farm portal, storage warehouse portal, admin portal, and the mobile Field App used by farm and storage warehouse accounts.

By accessing or using the Service, or by checking the acceptance box at account activation, you agree to these Terms. If you do not agree, do not use the Service. We record acceptances per signed-in user account and document version.

Account types

Access is provisioned by Schmieding for approved organizations and authorized personnel:

• Customer accounts use the customer portal only. Customers do not receive farm or warehouse SMS enrollment unless separately agreed in writing.
• Farm accounts use the farm portal and, when enrolled, the Field App for field reporting and compliance documents.
• Storage warehouse accounts use the same portal and Field App, scoped to warehouse sites and storage operations rather than field production.

You may use the Service only for legitimate compliance, reporting, documentation, and related business purposes associated with your organization's relationship with Schmieding.

Electronic acceptance

Checking the Privacy Policy and Terms box at website activation, or the matching box during Field App activation, is your electronic signature for these Terms and the Privacy Policy. We store the document versions, time, source, and account identity in an acknowledgment ledger. Officer wet-ink signatures, if any, remain in Schmieding's separate legal-hold files and are not replaced by this clickwrap.

Account-holder responsibility

• Keep login credentials, activation keys, and devices secure.
• Use only phone numbers and contact details you are authorized to control.
• Promptly update or remove access when personnel leave your organization.
• Notify Schmieding of suspected unauthorized access or misuse.
• Ensure submissions from your farm or storage warehouse account are accurate and complete.

Prohibited misuse

You may not:

• Share account access outside your authorized organization personnel or attempt to access another account's data without authorization.
• Interfere with Service security, availability, or integrity.
• Upload unlawful, deceptive, or infringing content.
• Use the Service for marketing spam or unrelated commercial messaging.
• Reverse engineer or circumvent access controls except where the law does not allow us to restrict that activity.

Compliance documents and reports

Organizations and users remain responsible for the accuracy, completeness, and lawful submission of compliance documents, field or warehouse reports, certifications, photographs, and related materials. Schmieding may review submissions as part of its business processes but does not assume responsibility for content created or uploaded by customer, farm, or storage warehouse users.

Intellectual property

Schmieding and its licensors own the Service, including software, branding, and documentation. You keep ownership of content you submit. You grant Schmieding a limited license to host, display, and process that content as needed to operate the Service and fulfill produce-compliance workflows with connected organizations.

Availability, suspension, and changes

We strive to keep the Service available and useful, but availability may be interrupted for maintenance, outages, or circumstances beyond our control. We may suspend access to protect security, comply with law, or address misuse. We may update features, security requirements, or these Terms as the Service evolves. Continued use after changes become effective constitutes acceptance of the updated Terms where permitted by law.

Account deletion

Only the server-designated primary deletion owner of an activated organization can use the secure deletion process described on the Account deletion page. Confirmation requires the current password, a code sent to the registered email, and a separate SMS code sent to the verified primary phone. Everyone using that account, including enrolled mobile devices, loses access when deletion is accepted. Eligible personal data is then removed; other registered accounts and records with an applicable, documented retention basis are protected. Deletion does not remove obligations that lawfully survive account closure. Contact support if you cannot access the account or need to exercise other privacy rights.

SMS messaging terms

Schmieding Farm Compliance may send transactional SMS messages to enrolled farm and storage warehouse users. Message categories may include mobile-app access and download instructions, report submission confirmations, audits, certifications, upcoming and past-due compliance requirements, document expiration alerts, account updates, application updates, farm and storage-warehouse notifications, and account security or device alerts.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to stop recurring transactional messages.
• Reply START to resubscribe where supported.
• Reply HELP for assistance, or email support@schmiedingfarmcompliance.com.
• Users must provide a valid phone number they control.
• Carrier and network availability may affect delivery.
• Carriers are not responsible for delayed or undelivered messages.
• Withdrawing recurring notification consent does not remove the underlying farm or storage warehouse account.
• Necessary one-time verification and security messages are treated separately from optional recurring notifications.

Disclaimer and limitation

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Schmieding disclaims warranties not expressly stated in a separate written agreement with your organization. To the fullest extent permitted by law, Schmieding is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Service. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by applicable law.

Indemnity

You will defend and indemnify Schmieding against claims arising from content your organization submits, your misuse of the Service, or your violation of these Terms, except to the extent a claim is caused by Schmieding's willful misconduct.

Governing law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law rules. Exclusive venue for disputes arising out of the Service is in the state or federal courts located in Washington County, Arkansas, unless a separate written agreement with your organization provides otherwise.

General

If a provision is unenforceable, the rest of these Terms remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Schmieding may assign them in connection with a corporate transaction. These Terms, the Privacy Policy, and any written agreement with your organization are the entire agreement for the Service.
